Basic compliance philosophy
The Company’s Compliance Rules and Code of Ethics for Directors and Officers stipulate that each individual is required to develop their sense of ethics and conduct fair and sound business activities based on conscience and common sense. We have also established basic rules for employees and the Company to ensure thorough compliance.
Basic Compliance Rules (Summary)
- Employees shall not only faithfully and strictly comply with laws and regulations, but shall also be fully aware of corporate ethics and execute their duties with the common sense and responsibility as a member of society.
- Employees shall not commit any act that violates laws, regulations, or internal rules by themselves, instruct other employees to do so, or suggest or tolerate said actions involving other employees.
- Employees shall promptly report to the manager if they become aware of any act in violation of the preceding Article.
- The Company may take disciplinary action against any employee who violates rules and regulations in accordance with work regulations, and may demand compensation for damages from any employee who has caused damage to the Company.
- Employees cannot be exempted from liability for violations of laws and regulations on the grounds that they lacked correct knowledge of the laws and regulations, had no intention of violating the laws and regulations, or violated laws and regulations for the benefit of the Company.
- Employees must consult with the Manager of the Management Department in advance if they are not sure whether their actions or decisions are against the law.

Code of Ethics for Directors and Officers (Summary)
- Management is responsible for taking the initiative to put these rules into practice and for ensuring that all employees comply with these rules by exercising strong leadership.
- Respect and comply with domestic and international laws and regulations and rules, as well as the spirit of such laws.
- Respect the personalities and human rights of all people, and never commit any act of unfair discrimination, sexual harassment, or the like.
- Sell and procure products and services through fair, open, and free competition, and never pursue profits by unfair means or through opaque practices.
- Take a firm stance against any group or individual that threatens the order of civil society and sever all relations with them.
- Strive to conserve resources and energy, minimize waste, and promote recycling, and cherish limited resources and nature.
- Never accept or receive excessive entertainment or gifts that would affect normal business relationships.
- Draw a line between public and private affairs, and perform duties with integrity and honesty in accordance with the rules and regulations established by the Company.
These rules have been in effect since June 7, 2006.
